PRODUCT WARRANTY
产品保证
8.1 Seller warrants that during the Warranty Period, the Products supplied by Seller shall
comply in all material respects with the Specifications, and will be free from Software
Defects attributable to Seller as well as defects in material and workmanship under normal
use and service in line with Seller’s instructions (“Warranty”).
卖方保证其供应的产品在保修期内在所有实质方面符合技术规范的要求，并且在符合卖方
说明的正常使用和服务范围内不存在可归责于卖方的软件缺陷以及原料和工艺缺陷（“保
证”）。
8.2 Except for the Warranty provided in Clause 8.1 above, Seller disclaims all other warranties
or conditions (express or implied) regarding the quality, condition or fitness for purpose of
the Products sold under this Agreement.
除上述第 8.1 条规定的保证外，卖方未就本协议项下销售的产品的质量、状况或适用性提
供任何其他（明示或暗示的）保证或条件。
8.3 Seller shall not be liable for a breach of the Warranty
卖方就违反保证的情形不承担责任：
(a) unless and until Buyer gives written notice of a breach, which is described in
reasonable detail, to Seller within [30] days of the time when Buyer discovers, or
ought to have discovered the Product’s defect or non-compliance with the
Specifications.
除非且直到买方在其发现或应当发现产品缺陷或不符合技术规范之日起【30】日
内向卖方发出书面违约通知，并且做出合理详细的说明。
(b) if Buyer’s claim for breach of Warranty relates only to Product components that are
normally consumed in operation, or have a normal life inherently shorter than the
Warranty Period.
如果买方主张的违反保证情形仅涉及在运行过程中会正常消耗或其固有的正常使用
寿命低于保修期的产品部件。
(c) if Buyer continues to use the allegedly defective or non-compliant Products after
giving notice of a breach of Warranty.
如果买方在发出违反保证的通知后继续使用其宣称有缺陷的或不合格的产品。
(d) if the defect arises due to Buyer’s failure to follow Seller’s instructions regarding
the storage, installation, use or maintenance of the Products.
如果是由于买方未遵循卖方关于产品存储、安装、使用或维护的说明而引起缺陷。
(e) if Buyer attempts to alter or repair the Products without prior written consent from
Seller.
如果买方试图在未经卖方事先书面同意的情形下更改或修理产品。
8.4 Subject to Clause 8.3, above, regarding any breach of Warranty claim with respect to the
Products during the Warranty Period, Seller shall at its option:
受制于上述第 8.3 条，就保修期内与产品有关的任何违反保证的主张，卖方应自行决定：
(a) credit or refund the price paid by Buyer for the non-conforming Products; or
贷记或退还买方就不合格产品所支付的价款；或者
(b) supplement, repair or replace such Products or correct such Software Defect.
补充、修理或更换该等产品或修正该等软件缺陷。
8.5 Products replaced by Seller under Clause 8.4 may be new or reconditioned to perform as
new and Seller shall bear the risk of loss and damage during shipment and all
transportation costs for such replacement Products. For the purpose of importation of
repaired or replacement Products during the Warranty Period, Buyer undertakes to
provide to Seller all relevant documentation required for importation (import permit, tax
certificate, etc.) and any documentation in its possession required to establish the
commencement date of the Warranty Period, failing which Buyer shall bear any and all
applicable duties or taxes.
卖方根据第 8.4 条更换的产品可能是新的，也可能是经过修复后具有新产品性能的产品，
卖方应承担该等更换产品在运输途中灭失和毁损的风险以及所有运输费用。在保修期内，
修理后或更换的产品在进口时，买方保证向卖方提供进口所需的全部相关文件（包括进口
许可证、纳税证明等）以及其所拥有的确定保修期起始日所需的任何其他文件，否则，所
有相关的关税或税费由买方承担。
8.6 If during the Warranty Period any Product defect or Software Defect occurs due to the
failure of Buyer to comply with the terms of the Agreement or the relevant Documentation
or due to an event of Force Majeure or any other reason not due to Seller’s fault, then
upon Buyer’s request, Seller shall repair or replace such Products or correct such Software
Defect at Buyer’s expense. Seller shall provide such services at its standard rates.
如果在保修期内，由于买方未遵循本协议条款或相关文件的规定或由于不可抗力，或由于
任何其他不可归责于卖方的原因，发生了任何产品缺陷或软件缺陷，则根据买方的要求，
卖方应修理或更换该等产品或修正该等软件缺陷，相关费用由买方承担。卖方应按照标准
价格提供上述有关服务。
8.7 For a period of [2] years after the expiry of the Warranty Period, Seller shall provide to
Buyer at its request, at a favourable price taking prevailing market prices for reference,
spare parts (as described in the Documentation) which are compatible with and are
required for normal operation of the Products. If Seller, its parent or any of its Affiliates
intends to discontinue production of any spare parts required for the Products, Seller shall
give written notice to Buyer [6] months prior to such discontinuance and Buyer shall be
entitled to place orders within [8] weeks of receipt of such notice for any such spare parts
required.
在保修期届满后【2】年期间内，卖方应依买方要求向其供应与产品相配套的并且是其正
常运转所需的备件(如相关文件所述)，价格为参照当时通行的市场价格后的优惠价格。如
果卖方、其母公司或任一关联公司拟停止生产产品所需的任何备件，卖方应在停止生产前
六【6】个月书面通知买方，买方有权在收到上述通知后【8】周内发出订单订购其所需的
任何该等备件。
8.8 All of Buyer’s claims in respect of Products or Software defects shall be handled solely in
accordance with the provisions of this Clause 8.
买方就产品或软件缺陷的所有主张均应完全依照本协议第 8 条的条款处理。
