INSPECTION AND CLAIM

检验和索赔

6.1

Buyer shall conduct an inspection of the Products included in the Shipment within [10]

Business Days after Delivery thereof to the Place of Delivery. If any shortage, damage or

discrepancy in respect of the Products (“Damage”) is found during the inspection, Buyer

shall within [15] Business Days after Delivery thereof to the Place of Delivery submit to

Seller a detailed report describing the Damage, specifying the affected Products and

appending related documentation supporting the claim.

买方应在货物于交货地交付后【10】个工作日内对其中的产品进行检验。如果检验时,发

现产品有任何短缺、损坏或不符(统称“不合格”)的情形,买方应在货物于交货地交付

后【15】个工作日内,向卖方提交一份详细报告描述不合格的情形,说明受影响的产品并

且附上相关文件证明该等主张。

6.2

If any Damage caused solely by Seller is found during the inspection, then Seller shall, at

its sole option:

如果在检验中发现完全由卖方的过错造成的任何不合格情形,则卖方应自行决定:

(a)

credit or refund the price paid by Buyer for the products impacted by the Damage;

or

贷记或退还买方就不合格产品所支付的价款;或者

(b)

supplement, replace or repair such damaged Products at Seller’s own expense.

自费补充、更换或修理该等不合格产品。

6.3

If any Damage is not due to Seller’s fault, Seller shall store and, within an agreed time

period, supplement, repair or replace those Products at Buyer’s expense. If Damage to

the Products occurs during shipment, Seller and Buyer shall work together to submit an

insurance claim.

如果任何不合格的情形是由于卖方的过错造成,卖方应保存,并且在约定的期限内补充、

修理或更换该等产品,该等费用由买方承担。如果在检验中发现产品不合格的情形,卖方

和买方应合作提出保险索赔。6.4

The Party responsible for the Damage shall also be responsible for all expenses related

to storage, shipping and insurance of the defective Products, as well as supplemental,

replacement or repaired Products.

对产品不合格负有责任的一方同时应承担与缺陷产品以及补充、更换或修理的产品的保存、

运输和保险有关的全部费用。

6.5

If Seller disagrees with Buyer’s claims under Clause 6.2, Seller shall within [10] Business

Days after the receipt of Buyer’s claim notice provide the reasons for its disagreement.

Both Parties shall use their best efforts to resolve the disagreement within [30] days after

the date of Seller’s notice of disagreement. If Seller fails to make any disagreement known

to Buyer within the given period, then Buyer’s claim shall be considered accepted by

Seller.

如果卖方对买方按照第 6.2 条提出的索赔有异议,卖方应在收到买方的索赔通知后【10】

个工作日内说明异议原因。双方应在卖方发出异议通知后【30】日内尽最大努力解决分歧。

如果卖方未能在规定期限内将其异议通知买方,则视为卖方接受买方的索赔。

6.6

In the event Buyer fails to conduct an inspection of any Products within the agreed period

set out in Clause 6.1 above, then Buyer shall be deemed to have waived all rights to claim

for Damage to Products under this Clause 6.

如果买方未能在上述第 6.1 条所载的约定期限内对某一产品进行检验,则应视为买方已放

弃按照第 6 条就产品不合格提出索赔的所有权利。

6.7

All of Buyer’s claims in respect of Product Damage shall be handled solely and exclusively

in accordance with the provisions of this Clause 6.

买方就产品不合格提出的所有索赔应完全、排他地按照本协议第 6 条处理。
